Created the Corporate Secretary's Department operation for new company, including Annual Meeting, Proxy, Shareowner Relations, Records Management Policy, Board of Director's Support, and Corporate Governance. Provided leadership in the industry for creative proxy design, content, and electronic voting resulting in recognition as industry authority and in substantive changes to industry standards. Negotiated withdrawal of shareowner proposals under difficult circumstances.

AT&T Corp.
District Manager- Shareowner Relations
1987- 1996
Redesigned the shareowner relations' departmental focus to effectively respond to more shareowners and reduce costs. Implemented cost savings program for the production of AT&T's Proxy Statement for a first year saving of $180,000 and continued savings in each subsequent year. Negotiated settlements with more than 60 Proxy proposal proponents, turning long term antagonists into cooperative partners. Interacted effectively with senior managers from all parts of the business, often influencing corporate policy decisions.

District Manager- Treasury Function Review Team 1984- 1987
Created and designed a study of corporate wide travel and expense reporting policy formerly controlled by seven departments to formulate one policy . The first year savings were in excess of $70 Million dollars.

District Manager- Financial Policy; Financial Requirements 1982- 1984
Evaluated proposals for selling $313 million worth of stock in minority owned Subsidiaries. Researched and recommended calling AT&T convertible preferred stock prior to divestiture. Conducted studies, analyzed testimony, responded to Commissioner's queries and recommended strategy to persuade public utility commissions to approve an appropriate rate of return and capitol structure. Managed interdepartmental task force to study and recommend leasing policy, saving millions of dollars annually.

Manager- Banking Relations; Methods and Procedures 1981- 1982
Task force leader for Bell System projects on cash management, corporate card plan implemented by 15 Bell Operating Companies for a yearly savings of $19 million. Created operational procedures for Overseas Finance subsidiary and first Eurobond offering.

Northwestern Bell Telephone Company
Manager- Banking Relations; Assistant Treasury Supervisor
1978- 1981
First person to negotiate short-term bank loans at a percentage below Prime. Redesigned bank visitation program saving $60,000 annually. Identified key failure factors in a mechanized reconciliation group which had been cited as nonfunctional by auditors. Assumed management resulting in exceptional operations. Conceived and implemented a new approach for issuing coin refunds for customer's claims at pay phones resulting in annual savings of $150,000 and an audit trail for identifying fraudulent requests.

Public Relations Staff Supervisor- Advertising; Research 1976- 1977
Produced television, print and radio ads. Administered a $2.5 million budget. Designed and conducted research projects on topics such as advertising effectiveness, customer awareness, employee attitudes and corporate image.
